Terms of Use

1. Agreement to Terms

By downloading, installing, or using the ClearCut mobile application ("App"), you agree to be bound by these Terms of Use ("Terms"). If you disagree with any part of the Terms, you may not access or use the App.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the App after any such change constitutes your acceptance of the new Terms.

3. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which can be found in the App settings. Please review this policy to understand our practices.

4. User Representations

By using the App, you represent and warrant that: (1) You are at least 13 years old. (2) You have the legal capacity to agree to these Terms. (3) You will use the App in compliance with all applicable laws and regulations. (4) Any registration information you submit will be true, accurate, and complete. (5) You will maintain the accuracy of such information. (6) Your use of the App will not violate any applicable law or regulation.

5. Account Registration

You may need to register for an account to use certain features of the App. You agree to keep your password confidential and will be responsible for all use of your account and password.

6. Prohibited Activities

You agree not to:

  • Use the App for any illegal purpose or in violation of any local, state, national, or international law.

  • Violate the rights of others, including patent, trademark, trade secret, copyright, privacy, publicity, or other proprietary rights.

  • Interfere with or disrupt the operation of the App or the servers or networks used to make the App available.

  • Attempt to gain unauthorized access to any portion of the App or any other systems or networks connected to the App.

  • Use any robot, spider, site search/retrieval application, or other manual or automatic device to retrieve, index, "scrape," "data mine," or in any way reproduce or circumvent the navigational structure or presentation of the App.

  • Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature.

7. Intellectual Property Rights

The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by ClearCut, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8. User Content

You retain any copyright that you may hold in content you submit to the App. By submitting content, you grant ClearCut a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display such content in connection with the App.

9. Payment and Subscriptions

All purchases and subscriptions are processed through the Apple App Store. Your purchase is subject to Apple's applicable payment policies. ClearCut is not responsible for any payment issues or disputes related to App Store purchases.

10. Termination

We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. Upon termination, your right to use the App will immediately cease.

11. Limitation of Liability

In no event shall ClearCut, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

12. Disclaimer

The App is provided on an "AS IS" and "AS AVAILABLE" basis. ClearCut expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Changes to the App

We reserve the right to withdraw or amend the App, and any service or material we provide via the App, in our sole discretion without notice. We will not be liable if for any reason all or any part of the App is unavailable at any time or for any period.

15. Indemnification

You agree to defend, indemnify, and hold harmless ClearCut, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the App.

16. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, our Privacy Policy, and any other policies or operating rules posted by us on the App constitute the entire agreement and understanding between you and us.

18. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision.
